Production Agreement This AGREEMENT made and entered into as of this ______ day of ___________ 2003 by and between Scott Walker p/k/a “Bizzo”(“Producer”) and CeSoul Music (“Record Company”). The parties hereby agree as follows: 1. Engagement: 1.01 Record Company hereby engages Producer to furnish Producer’s services to Record Company on a “work for hire” basis and Producer accepts such engagement and agrees to render such services to Record Company on a “work for hire” basis during the term of this agreement and all renewals and extensions thereof. 1.02 Producer’s services shall include producing, recording, mixing and/or remixing at Record Company’s discretion, master recordings embodying the performances of artists contractually bound to Record Company. Producer’s services shall also include creating, in whole or in part, original musical compositions(the “Compositions”)including, without limitation, the title, words, and/or music thereof, and producing, recordning, mixing, and/or remixing master recordings of the Compositions. The aforementioned are herein designated the “Masters”. Each Master shall embody the performance by an artist(s) or Producer of a single musical composition. The Masters shall be technically and commercially satisfactory to Record Company and any distributor, purchaser or licensee thereof. 1.03 Producer’s services shall also those customarily performed by record producers, including without limitation: suggesting material to record, suggesting musicians, and performing both control room and studio work at recording sessions. 1.04 Producer agrees to perform such obligations under this agreement to the best of Producer’s ability. 1.05 Record Company shall have the right and opportunity to have representatives attend, direct, and control each recording session. 2. Term: 2.01 The term hereof (the “Term”) shall consist of an initial period (the “First Contract Period”) plus and additional “Contract Period”, by which such Term may be extended by Record Company’s exercise of the option granted to Record Company below. 2.02 The First Contract Period shall be deemed to commence on March 1, 2003 and shall end six (6) months after the date of this agreement first written above. Each subsequent Contract Period shall commence on the date following the date of expiration of the immediately preceding Contract Period and shall end six (6) months thereafter. 3. Recording Procedure 3.01 The times and places of all recording sessions, the accompanying artists (vocalists and instrumentalists) to perform at such recording sessions and the other creative and technical personnel to be utilized shall be designated by Record Company, but in consultation with Producer. 3.02 In respect of the Masters, Producer shall: (a) produce, record, mix, and edit the Masters (and/or remix the Masters, if so directed by Record Company).
